CorpNote™ is a copyrighted intellectual property and service brand of Set Now Solutions, LLC.
CorpNote is a paid, member-based service for the express use of creating, sending and tracking graphical email, email newsletters, eCards, online RSVP invitations and online surveys.
The following is a legal agreement between Set Now Solutions, ("Set Now," "CorpNote," "we," "us," or "our") the creators and providers of the CorpNote email system and "you," ("Customer," "Visitor," "Member," "User" or "Account Owner") the user of this service. By accessing, browsing and/or using this website, you acknowledge that you have read, understand, and agree to be bound to these terms of service ("Terms") and to comply with all applicable laws and regulations.
This agreement supersedes all prior agreements between us and you.
CorpNote Membership grants paid subscribers a non-exclusive right to access and use the members-only features of the CorpNote service. Only the individual member to which the account is assigned has the right to access their account data on our system, and may not share, disclose or distribute their password information to others. Two or more individuals may not share a CorpNote Member account. If multiple individuals associated with a location, business, group or family wish to use the CorpNote system, then each individual must establish a separate, paid membership account – as a new Individual Membership or as a new User of our Multi-user Memberships.
The photographic and art images in our CorpNote eCard, layout and image library are the property of CorpNote and may not be reproduced, in whole or in part, for any use other than as a CorpNote email message. CorpNote Members may distribute images/email only via the CorpNote mail delivery system or its built-in sharing tools, or by linking directly to the browser version of their email message, invitation RSVP webpage or online survey webpage. The CorpNote logo, images and artwork may not be used, reproduced or redistributed, in whole or in part, for any commercial purpose outside of the context of our email marketing system.
All of the images, interface elements and promotional/administrative text on CorpNote are copyrighted intellectual property of CorpNote and Set Now Solutions with the exception of trademarked and copyrighted material either obtained under contract from third-party providers or used by our customers to create custom cards or customized navigation designs. Company logos or trademarks used in our client and testimonial promotional material remain the exclusive intellectual property of their respective owners.
The technology processes used on the CorpNote website are the intellectual property of Set Now Solutions and are protected by local, federal and international law. You may not modify, adapt, translate, reverse engineer, decompile, disassemble, redistribute or create derivative works based on the CorpNote website or permit others to do so. Except for the limited license granted above, nothing contained herein shall be construed as conferring to you in any manner, any license, title, or ownership of or to any intellectual property right of Set Now Solutions.
It is the Member’s responsibility to attain the rights to any content they upload or send via CorpNote, and to obey all local, state, federal or international ecommerce laws.
As a Customer of CorpNote, it is your responsibility to comply with all applicable international, federal, state and local laws and regulations regarding distribution of electronic or protected content. This includes, but is not limited to: copyright, trademark, proprietary information and intellectual property rights. In addition, any use of CorpNote for defamation, tortious interference with business, invasion of privacy or pornography is strictly prohibited. In the event that a customer violates these provisions, Set Now Solutions reserves the right to consider this a breach of this Agreement, and may terminate Customer immediately without prior notice.
Since CorpNote Members create and upload their own content, Set Now Solutions makes no representations and cannot guarantee that Customer's content does not infringe upon any trademarks, trade names, service marks or other proprietary rights owned by a third party. Therefore, Customer shall not hold Set Now Solutions liable for any damages, injuries or losses incurred by Customer as a result of any legal action instituted by a third party.
As a User of CorpNote, you may not send unsolicited email messages, and you must comply with any requests to be unsubscribed from your CorpNote mailing lists.
CorpNote is a permission-based online marketing service, and we strictly prohibit the use of our service to send unsolicited "SPAM" email. SPAM email may be considered to be any message that is sent electronically for commercial purposes for which you have not received express permission by your intended recipients to receive. This includes but is not limited to sending email to email address lists that you have purchased for sales or marketing purposes.
Set Now Solutions enforces its anti-SPAM policy using the definition of SPAM set forth in the U.S. Federal Trade Commissions' CAN-SPAM Act. In addition, CorpNote provides the opportunity for its members to apply the best practices outlined in the Act, so their email and shared content can be CAN-SPAM compliant.
As a Customer of CorpNote, it is your responsibility to comply with all applicable international, federal, state and local laws and regulations regarding electronic commerce and the transmission or storage of individuals' personally identifiable information (PII). In the event that a customer violates any of these provisions, Set Now Solutions reserves the right to consider this a breach of this Agreement, and may terminate Customer immediately without prior notice. We also reserve the right to deny future service to any party that has violated our anti-SPAM policies in the past, or have in any way broken or mis-used the terms of this entire agreement.
CorpNote Members are responsible for complying with all local, national or international laws. This includes laws that enforce privacy and protect the rights of your contact's sensitive information (PII).
Email and the internet have inherent security vulnerabilities, and we take great care to protect confidential information. The CorpNote system has been designed, and is regularly updated, to use industry-standard security measures to protect the privacy and integrity of its Members' personal and confidential data. As an internet and email-based technology, CorpNote is subject to the same risks and vulnerabilities as all web browser and email-dependent products and services. As with all email – which is inherently insecure – it is your responsibility to NOT send or request any confidential information via eCards, invitations or surveys using the CorpNote system, including but not limited to passwords, Social Security numbers, financial or credit card information, medical records, or any other data that might be considered personally identifiable information ("PII").
To protect the confidential information in our Members' accounts, it is your responsibility to protect access to your CorpNote Member password. CorpNote passwords shall be considered private information and must not be shared or disseminated in any manner or transferred to third parties.
When you create an account, we store your name, email, contact information, and billing information so we can recognize you when you sign in, use and service your account. To comply with Federal ecommerce rules, we do not store your complete credit card information on our servers. This information is only retained by the secure merchant system that processes our recurring billing invoices.
CorpNote members have the option to enter email addresses or create address book contacts that may contain names, birthdays and anniversary dates, company names and other optional data. This information is securely stored on our web servers for as long as you are a member, or until you choose to delete it. This information will always remain your private intellectual property, and you may retrieve this information from your account at any time. Furthermore, CorpNote will never use, sell or share your contact information.
When you send an eCard via CorpNote, we save a history of all sent eCards unless you delete them. If an eCard is sent that contains an online invitation or online survey, that correspondence history is saved for the duration of your membership unless you delete it.
All of your artwork, uploaded eCard designs and account preferences will be stored in your account and will remain available for the duration of your membership.
All eCard, invitation and survey data will be permanently deleted 60 days after the termination of your account. This includes your contacts and all of your artwork, templates and custom settings you may have created.
If you choose to re-activate your CorpNote membership within the 60-day post-termination period, then we can restore your account to its previous state. Alternately, if you terminate your membership and wish to have your account content and history deleted immediately, then we will promptly honor your request.
To make sure that your stored information is accessible and portable, CorpNote provides the ability for you to download and save your important account data, including your address book contacts, event attendee lists and survey results – at any time, from within your account.
Notice: At no time shall Set Now Solutions assume any liability for lost customer content. It is your responsibility as a customer to retain a local copy of any content or data you upload to our system, and to regularly retrieve any account data that is imperative to your daily operations.
CorpNote automatically bills your credit card monthly for use of our service, and you must actively cancel your membership before your next billing cycle if you intend to end your membership and do not want your credit card to be charged. Termination must be completed no later than four (4) business days before your monthly billing cycle date to avoid the next month's fee. Once a member's monthly fee has been processed, the monthly fee cannot be refunded, but the Member will have full access to their account services for the remainder of the billing period for which they have been charged.
Cancellation instructions for Individual Members: Browse to our secure cancellation form and enter your account login information. Cancellation is a two-step process. Upon completion of the form, you will receive an email (at the address the account is set up under) that contains a link. You must click on this link to complete the cancellation.
Cancellation instructions for Multi-user Account Members: If you are a "User" in a CorpNote Multi-user plan then you need to contact your CorpNote Plan Administrator, who can close your user account. The name and email address of your Administrator appears on your Account Overview page.
Cancellation instructions for the Plan Administrator of a Multi-user Membership: Cancel your account (which will simultaneously terminate all active Users) by browsing to our secure cancellation form, enter your account login information, and then click on the link in the email we send you to complete the cancellation. Since Multi-user accounts are billed based upon the previous month's User activity, your credit card will be charged one final payment based upon how many Users were active in the latest billing cycle. After confirming your cancellation, your account (and the accounts of your active Users) will remain active until the end of your current billing period.
In the event you dispute a charge to your account, it is your responsibility to contact CorpNote within 45 days of when the questionable charge was processed, using our Priority Support Form.
In the event that Set Now Solutions elects to terminate Customer as a result of any breach of the terms and conditions of this agreement, Customer shall not be entitled to a refund of the balance of their membership fees.
Customer agrees that Set Now Solutions shall have no liability for the services, data or information provided to the public on the internet including but not limited to any liability for consequential, indirect, special or incidental damages, regardless of the success or effectiveness of other remedies.
Customer further agrees that Set Now Solutions shall not be held liable for any damages or losses sustained by Customer for business or other activities conducted on the internet including but not limited to consequential, indirect, special or incidental damages.
Customer agrees that it shall not hold Set Now Solutions liable for any loss of business, lost opportunity, consequential, indirect, special or incidental damages as a result of any interruption in service. In no event shall Set Now Solutions' liability exceed the total value paid to Set Now Solutions by the Customer for the most recent billing period.
Customer agrees to indemnify and hold Set Now Solutions harmless in any legal action which arises as a result of Customer's use of CorpNote and Set Now Solutions services, without limitation or exception including, but not limited to any action brought against Set Now Solutions by a third party.
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to its conflicts of law rules. You expressly agree that the exclusive jurisdiction for any claim or action arising out of or relating to these Terms of Service or your use of the Service shall be filed only in the state or federal courts located in the State of Pennsylvania, and you further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or these Terms of Service must be filed within one (1) year after such claim or cause of action arose or be forever barred.
The materials, information and services provided on this website are provided "as is" without warranty of any kind, either expressed or implied including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. Set Now Solutions is not responsible for any failure of electronic communications sent through the service to reach their intended recipients or to reach such recipients on the date specified by the sender. The materials, information and services available on the website are subject to change without notice. Set Now Solutions and any of its officers or employees shall not be held liable for any direct, indirect, special, consequential, punitive, exemplary and/or incidental damages of any kind whatsoever (including, but not limited to, lost profits or attorneys' fees) in any way due to, resulting from or arising in connection with your access to, inability to access, or use of the site, or from your reliance on any information provided at the site.
This limitation applies to all causes of action in the aggregate including, but not limited to, breach of contract, breach of warranty, negligence, strict liability, misrepresentation, and any other tort. In the event the foregoing limitation of liability set forth herein shall be for any reason held unenforceable or inapplicable, you agree that Set Now Solutions liability shall not exceed any sums paid pursuant this agreement. Set Now Solutions does not take any responsibility for or assumes any liability for any content uploaded or otherwise transmitted by you, or for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography, indecency, lewdness, harassment, threats, abuse, or profanity you may encounter in using the site. You agree to hold harmless Set Now Solutions and its officers and employees from all claims based upon communications or materials made available by you on the website.
Set Now Solutions does not guarantee that any of its website materials or services are appropriate for use in locations outside of the United States. All fees for CorpNote Membership are due in U.S. dollars ($).
Those who choose to access this website from other locations do so on their own initiative and are responsible for making payment in U.S. Dollars ($), and using the site in compliance with all local, national and international laws.
Set Now Solutions shall not be liable for any delay in whole or in part, caused by the occurrence of any contingency beyond the reasonable control either of the excused party or its subcontractors or suppliers including, but not limited to, war, sabotage, insurrection, riot or other act of civil disobedience, act of public enemy, failure or delay in transportation, act of any government or any agency or subdivision thereof affecting the terms hereof, accident, fire, explosion, flood, severe weather or other act of God, or shortage of labor or fuel or raw materials.
You hereby indemnify, defend and hold harmless Set Now Solutions, and all officers, directors, owners, agents, content providers, licensors and licensees (collectively, the "Indemnified Parties") from and against any and all liability and costs, including, without limitation, reasonable attorneys' fees, incurred by the Indemnified Parties in connection with any claim arising out of any breach by you or any user of your account of this Agreement. You shall cooperate as fully as reasonably required in defense of any such claim. Set Now Solutions reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you.
The terms and conditions of this Agreement may be modified at the discretion of Set Now Solutions and any modifications shall be effective immediately upon posting the changes to our website. By continuing to use the CorpNote Service, you are agreeing to any changes to CorpNote's terms and conditions.
This Agreement supersedes all Agreements previously made between the parties pertaining to the subject matter of this Agreement. There are no other understandings or Agreements. Failure to properly notify Set Now Solutions of disagreement with the above terms and conditions will constitute Customer's acceptance of this agreement.
